Milapole Corporation Referral Terms and Conditions

These Referral Terms and Conditions (the “Agreement”) govern your participation in the Milapole Corporation Referral Program (the “Referral Program”). By submitting an application to participate, you (the “Referrer”) acknowledge that you have read, understood, and agree to be bound by these terms, which may be updated from time to time. Continued participation after any changes constitutes acceptance of those changes.

1. Definitions

“Paid Subscriber”
An individual or entity that has subscribed to a paid monthly plan ($18, $165, or $330) on the Platform and whose payment status is current and in good standing.
“Referred User”
A new, unique individual or entity referred by the Referrer who registers on the Platform using the Referrer’s unique discount code, becomes a Paid Subscriber, and satisfies the eligibility criteria in Section 4.
“Referral Fee”
A one-time payment equal to the Referred User’s first month’s primary subscription fee, provided all conditions are met.
“Excluded Jurisdictions”
Countries subject to UN sanctions or embargoes.
“Platform”
The Milapole online platform [Insert Platform Name] offering digital business tools and SaaS products.

2. Eligibility and Application

The Referrer must be a registered user of the Platform with an active account (on either the free 1-year promo or a paid plan) at the time of the referral and until the Referral Fee is paid.

The Referrer must be granted a unique discount code by the Company before referral activity begins.

Milapole reserves the right to reject any application or ongoing participation in the Referral Program at its sole discretion.

The Referrer affirms they are not a resident or national of any Excluded Jurisdiction and are eligible to participate under applicable law.

3. Referral Obligations

The Referrer agrees to use lawful, ethical, and commercially reasonable efforts in promoting the Referral Program.

Misleading, deceptive, or unethical marketing (including SPAM) is strictly prohibited.

The Referrer must comply with all applicable laws related to privacy, data protection, advertising, and electronic messaging.

The Referrer is solely responsible for costs incurred in promoting the Referral Program.

4. Referral Fees and Payment

The Referrer will earn a one-time Referral Fee for each Referred User who:

Payments will be processed via Stripe approximately at the start of the fifth (5th) month after the Referred User’s subscription begins, provided all conditions above are met.

The Referrer must have an active account on Milapole.com to enable tracking and is responsible for providing accurate Stripe account information.

No Referral Fees will be paid for users who:

The Company may modify the payout method or requirements at any time in its sole discretion.

5. Excluded Jurisdictions and Compliance

The Company does not engage with individuals or entities in Excluded Jurisdictions.

Participation in violation of sanctions or local laws may result in immediate termination and forfeiture of Referral Fees.

6. Important Disclaimers

The Company may suspend accounts or remove earned credits at its discretion for any activity that violates this Agreement, the Terms of Service, or Community Standards.

The Company may investigate any potential fraud and take corrective action, including withholding Referral Fees or account suspension.

The Referral Program and its terms may be modified, paused, or terminated at any time without prior notice.

The Company makes no guarantee of earnings or referral success.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM PARTICIPATION IN THIS PROGRAM, INCLUDING LOSS OF REVENUE, PROFITS, DATA, OR GOODWILL.

THE REFERRAL PROGRAM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.

8. Taxes

The Referrer is solely responsible for all applicable taxes on Referral Fees earned.

U.S.-based Referrers who earn $600 USD or more in a calendar year must submit IRS Form W-9. The Company will issue IRS Form 1099-NEC in compliance with U.S. tax law. Failure to provide required tax documentation may result in withholding or delay of payment.

9. Independent Contractor Status

The Referrer is an independent contractor, not an agent, partner, employee, or representative of the Company. Nothing in this Agreement shall be interpreted as creating any employment or fiduciary relationship.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules.

Any disputes shall be resolved exclusively in the state or federal courts located in Dover, Delaware, and the Referrer submits to the jurisdiction of those courts.

11. Entire Agreement

These Referral Terms and Conditions constitute the entire agreement between the parties with respect to the Referral Program and supersede any prior agreements or understandings.

12. Right to Modify or Terminate

The Company reserves the right to modify, suspend, or terminate the Referral Program or these terms at any time without notice. Updates may be communicated via email or posted to the Platform. Continued participation after any such changes constitutes acceptance.
